ImgVault — Terms of Service

Terms of Service Last updated: 08/06/2026 These Terms of Service ("Terms") govern your access to and use of ImgVault (the "Service"), an image hosting and content delivery service operated by Axel Enterprise, a sole proprietorship based in India ("ImgVault", "we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

  1. Eligibility You must be at least 18 years of age and capable of forming a legally binding contract to use the Service. By using ImgVault, you represent and warrant that you meet this requirement and that the information you provide to us is accurate and complete. If you use the Service on behalf of a business or other organization, you represent that you are authorized to bind that entity to these Terms, and "you" refers to that entity.

  2. The Service ImgVault provides bulk image hosting, permanent content-delivery links (CDN URLs), SKU generation, organizational tools (such as folders and tags), and related features intended primarily for e-commerce sellers. The specific features and limits available to you depend on your plan. We may add, change, or remove features at any time. We will try to give reasonable notice of significant changes, but we are not obligated to maintain any particular feature.

  3. Accounts and Security To use most features, you must create an account. You are responsible for:

Providing accurate registration information and keeping it current, including a valid email address; Maintaining the confidentiality of your login credentials; All activity that occurs under your account.

You must notify us promptly at support@imgvault.in if you suspect unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account that results from your failure to keep your credentials secure.

  1. Plans, Pricing, and Billing ImgVault offers a free plan ("Free") and a paid subscription plan ("Pro"). Current features, prices, and limits are described on our Pricing page, which forms part of these Terms. 4.1 Subscription and renewal. The Pro plan is billed in advance on a recurring monthly basis at the price stated on the Pricing page (currently ₹299 per month). Unless cancelled, your subscription renews automatically at the end of each billing cycle, and you authorize us and our payment processor to charge your payment method for each renewal. 4.2 Payment processing. Payments are processed by a third-party payment processor. By subscribing, you also agree to that processor's terms. We do not store your full card or banking details. 4.3 No refunds. All payments are final and non-refundable. We do not provide refunds or credits for any partial subscription period, unused storage, downgrade, or for periods during which your account was inactive, suspended, or you did not use the Service, except where a refund is required by applicable law. 4.4 Cancellation. You may cancel your Pro subscription at any time. Cancellation stops future renewals; it does not refund the current period. You will retain Pro access until the end of the period you have already paid for, after which your account reverts to the Free plan and Section 5 applies. 4.5 Price changes. We may change plan prices or limits. We will give reasonable advance notice of price increases, which will take effect on your next billing cycle after the notice period.

  2. Free Plan Limits and Removal of Excess Content Free accounts are subject to the storage and image limits stated on our Pricing page (currently 10 GB of storage and 3,000 images). Pro accounts are subject to the limits applicable to that plan. If a Pro subscription ends, expires, or is not renewed, your account will revert to the Free plan and the Free plan limits will apply immediately. If your account exceeds the Free plan limits — for example, after a downgrade from Pro — the following applies:

Uploads paused. You will be unable to upload new images until your account is brought back within the Free plan limits, either by deleting enough images or by upgrading to a paid plan. Grace period. You will have a grace period of ten (10) days, beginning on the date your account first exceeds the Free plan limits, to bring your account back within those limits. Notice. During this period we will display a notice within the application showing the amount by which you are over the limit and the deletion deadline. We will also send email reminders, including approximately three (3) days before and approximately twenty-four (24) hours before the deadline, to the email address associated with your account. It is your responsibility to keep your account email address current and to monitor it. Permanent deletion. If your account still exceeds the Free plan limits at the end of the grace period, we will permanently delete images from your account, oldest first, until your account is within the Free plan limits. This deletion is permanent, is not routed to Trash, and cannot be undone. Your responsibility to back up. You are responsible for maintaining your own backup copies of any images you upload. ImgVault is an image hosting and delivery service and does not guarantee permanent retention of content that exceeds your plan's limits.

  1. Your Content 6.1 Ownership. You retain all ownership rights in the images and other content you upload ("Your Content"). We do not claim ownership of Your Content. 6.2 Licence to operate the Service. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, resize, re-encode, cache, and distribute Your Content solely as necessary to operate and provide the Service to you (for example, to process uploads, strip image metadata, generate optimized versions, and deliver your images over our content-delivery network). This licence ends when Your Content is deleted from the Service, except for copies retained in routine backups for a limited period or as required by law. 6.3 Responsibility for Your Content. You are solely responsible for Your Content and represent that you own it or have all rights and permissions necessary to upload and distribute it through the Service, and that it does not infringe any third party's rights or violate any law. 6.4 Public links. The Service generates links intended to make Your Content publicly accessible to anyone who has the link. You understand that content delivered through these links can be viewed by anyone who obtains the link.

  2. Acceptable Use You agree not to use the Service to upload, store, or distribute content that:

Infringes the intellectual property, privacy, or other rights of any person; Is unlawful, fraudulent, defamatory, obscene, or constitutes child sexual abuse material; Contains malware, or is used to host phishing, scams, or other malicious or deceptive material; Violates the laws of India or any other jurisdiction applicable to you.

You also agree not to:

Attempt to gain unauthorized access to the Service, other accounts, or our systems; Interfere with or disrupt the Service, including by circumventing storage limits, rate limits, or other restrictions; Resell, sublicense, or provide the Service to third parties except as expressly permitted; Use automated means to abuse the Service or impose an unreasonable load on our infrastructure.

We may investigate and take appropriate action against any suspected violation, including removing content and suspending or terminating accounts.

  1. Intellectual Property of ImgVault The Service itself — including its software, design, branding, name, logos, and all related intellectual property — is owned by Axel Enterprise and protected by applicable laws. These Terms do not grant you any right to use our name, logos, or branding except as necessary to use the Service.

  2. Privacy Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the collection and use of information as described there.

  3. Service Availability; No Warranty The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any stored content will be preserved without loss. We may suspend the Service for maintenance, upgrades, or reasons outside our control.

  4. Limitation of Liability To the maximum extent permitted by law:

ImgVault, Axel Enterprise, and its proprietor will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business — including, without limitation, any loss of, or damage to, marketplace or e-commerce listings — arising out of or related to your use of, or inability to use, the Service, or the deletion of content under these Terms. Our total aggregate liability for all claims relating to the Service in any twelve-month period will not exceed the total amount you actually paid us for the Service during that period, or ₹1,000, whichever is greater.

Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted by law.

  1. Indemnification You agree to indemnify and hold harmless Axel Enterprise and its proprietor from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms or any law or third-party right.

  2. Suspension and Termination We may suspend or terminate your account or access to the Service, with or without notice, if we reasonably believe you have violated these Terms, used the Service unlawfully, or created risk or legal exposure for us. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ends and we may delete Your Content, subject to Section 6.2. Sections that by their nature should survive termination (including content ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

  3. Changes to These Terms We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

  4. Governing Law and Jurisdiction These Terms are governed by the laws of India. Subject to any non-waivable rights you may have, you agree that the courts at [INSERT CITY, e.g. Mumbai / Vasai], Maharashtra, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

  5. Grievance Redressal In accordance with applicable Indian law, complaints regarding content or your use of the Service may be sent to our Grievance Officer:
